IMPORTANT - READ CAREFULLY

THIS END USER LICENSE AGREEMENT ("AGREEMENT" OR "EULA") IS A LEGAL AGREEMENT BETWEEN YOU ("USER," "YOU," OR "YOUR") AND ELTAES LLC, A CALIFORNIA LIMITED LIABILITY COMPANY ("COMPANY," "ELTAES," "ELTA AI," "WE," "US," OR "OUR").

BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE ELTA AI MOBILE APPLICATION ("APP" OR "APPLICATION") OR ANY RELATED SERVICES ("SERVICES"), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, ACCESS, OR USE THE APP OR SERVICES.

1. ACCEPTANCE OF TERMS

1.1 Agreement to Terms

By creating an account, downloading, installing, or using the Elta AI App, you agree to be bound by this Agreement, our Privacy Policy (available at https://www.elta.ai/privacy-policy/), and any additional terms and conditions that may apply to specific features or services.

1.2 Eligibility

You must be at least 13 years of age to use the App. By using the App, you represent and warrant that:

You are at least 13 years of age;
You have the legal capacity to enter into this Agreement;
You are not prohibited from using the App under any applicable laws;
You will use the App in compliance with all applicable laws and regulations.

If you are between 13 and 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to this Agreement on your behalf.

1.3 Changes to Terms

We reserve the right to modify, amend, or update this Agreement at any time. We will notify you of material changes by:

Posting the updated Agreement within the App;
Updating the "Last Updated" date above;
Sending notification through the App or email (for significant changes).

Your continued use of the App after such modifications constitutes your acceptance of the updated terms.

2. DESCRIPTION OF SERVICES

2.1 Overview

Elta AI is a personal safety and travel companion application that provides:

Trip Planning and Management: Create, organize, and manage travel itineraries;
Safety Check-In System: Scheduled check-ins with automated notifications if missed;
Emergency Contact Management: Designate and manage emergency contacts who receive safety notifications;
Location Tracking: GPS-based location monitoring during active trips (with user consent);
AI-Powered Assistance: Intelligent chat assistant ("Ellie") for travel recommendations and support;
Packing Checklists: Personalized packing lists generated based on trip details;
Quick Events: Short-term activity tracking with safety monitoring.

2.2 Nature of Services

THE APP IS DESIGNED TO ASSIST WITH PERSONAL SAFETY PLANNING AND DOES NOT REPLACE PROFESSIONAL EMERGENCY SERVICES. IN CASE OF EMERGENCY, ALWAYS CONTACT LOCAL EMERGENCY SERVICES (911 IN THE UNITED STATES) FIRST.

2.3 Service Availability

We strive to maintain continuous availability of the App and Services but do not guarantee uninterrupted access. Services may be temporarily unavailable due to:

Scheduled or emergency maintenance;
System upgrades or updates;
Factors beyond our reasonable control (force majeure events);
Technical issues or third-party service disruptions.

3. LICENSE GRANT

3.1 Limited License

Subject to your compliance with this Agreement, Eltaes LLC grants you a limited, non-exclusive, non-transferable, revocable license to:

Download and install the App on a mobile device that you own or control;
Access and use the App for your personal, non-commercial purposes;
Use the Services in accordance with this Agreement.

3.2 License Restrictions

You may NOT:

Copy, modify, adapt, translate, or create derivative works of the App;
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App;
Remove, alter, or obscure any proprietary notices, labels, or marks;
Rent, lease, lend, sell, sublicense, or otherwise transfer the App to any third party;
Use the App for any commercial purpose without prior written consent;
Use the App in any manner that could damage, disable, overburden, or impair our servers or networks;
Use automated systems or software to extract data from the App ("scraping");
Attempt to gain unauthorized access to the App, user accounts, or computer systems;
Transmit viruses, malware, or any other malicious code;
Use the App for any illegal or unauthorized purpose.

3.3 Ownership

The App and all related intellectual property rights are and shall remain the exclusive property of Eltaes LLC and its licensors. This Agreement does not grant you any ownership rights in the App. All rights not expressly granted herein are reserved.

4. USER ACCOUNTS AND REGISTRATION

4.1 Account Creation

To access certain features of the App, you must create an account. You may register using:

Email and password;
Apple Sign-In;
Google Sign-In;
Facebook Sign-In.

4.2 Account Information

You agree to:

Provide accurate, current, and complete information during registration;
Maintain and promptly update your account information;
Maintain the security and confidentiality of your login credentials;
Immediately notify us of any unauthorized use of your account;
Accept responsibility for all activities that occur under your account.

4.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

4.4 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice, including for:

Violation of this Agreement;
Fraudulent or illegal activity;
Conduct harmful to other users or the Services;
Extended periods of inactivity.

You may delete your account at any time by contacting us at [email protected].

5. USER CONDUCT AND RESPONSIBILITIES

5.1 Acceptable Use

You agree to use the App only for lawful purposes and in accordance with this Agreement. You shall not use the App to:

Violate any applicable law, regulation, or third-party rights;
Impersonate any person or entity;
Harass, abuse, or harm others;
Submit false, misleading, or fraudulent information;
Interfere with or disrupt the App or Services;
Engage in any activity that could harm minors;
Collect or harvest personal information from other users;
Send unsolicited communications or spam.

5.2 User Content

You retain ownership of any content you submit through the App ("User Content"), including:

Profile information;
Trip details and notes;
Emergency contact information;
Chat messages with AI assistant.

By submitting User Content, you grant Eltaes LLC a non-exclusive, worldwide, royalty-free license to use, process, store, and display such content solely for the purpose of providing and improving the Services.

5.3 Emergency Contact Responsibilities

When designating emergency contacts, you represent and warrant that:

You have obtained consent from each person you designate as an emergency contact;
The contact information provided is accurate and belongs to the designated person;
You will inform your emergency contacts about the notifications they may receive;
You will update or remove emergency contacts as necessary.

6. LOCATION SERVICES AND DATA

6.1 Location Data Collection

The App collects location data to provide safety features, including:

Check-in/check-out location verification;
Background location tracking during active trips (when enabled);
Location sharing with emergency contacts (when enabled).

6.2 User Control

You maintain control over location services:

You can enable or disable location tracking in your device settings;
You can configure background location preferences in the App;
You can choose whether to share location with emergency contacts;
Location tracking stops when you check out of a trip or event.

6.3 Location Data Usage

Location data is used solely for:

Providing safety and check-in features;
Sending location information to designated emergency contacts;
Improving the accuracy of safety notifications.

7. AI FEATURES AND THIRD-PARTY SERVICES

7.1 AI-Powered Features

The App includes AI-powered features, including the chat assistant "Ellie." By using these features:

You acknowledge that AI responses are generated automatically and may not always be accurate;
You agree not to rely solely on AI-generated content for critical decisions;
No Professional Advice: The AI Assistant provides information for general planning purposes only. It is not a substitute for professional travel agents, local authorities, or safety experts. You should verify all AI-generated itineraries, hours of operation, and safety advice with official sources.
You understand that your messages may be processed by third-party AI service providers.

7.2 Third-Party Services

The App integrates with third-party services, including:

Amazon Web Services (AWS) for backend infrastructure;
Authentication providers (Apple, Google, Facebook);
SMS and email notification services;
AI and machine learning services.

Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

8. FEES AND PAYMENT

8.1 Free Services

The App is currently provided free of charge. Certain features may be offered as premium services in the future.

8.2 Future Premium Features

If we introduce paid features:

Pricing and payment terms will be disclosed before purchase;
You will have the opportunity to review and accept charges;
App Store Transactions: For purchases made through a mobile app store (e.g., Apple App Store, Google Play Store), the refund policy of that app store will apply. Eltaes LLC generally does not have the authority to issue refunds for purchases made through third-party app stores.

8.3 Third-Party Charges

You are responsible for any charges from your mobile carrier or internet service provider for data usage associated with using the App.

9. DISCLAIMER OF WARRANTIES

9.1 "AS IS" Basis

THE APP AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ELTAES LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
NON-INFRINGEMENT;
ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT;
UNINTERRUPTED OR ERROR-FREE OPERATION.

9.2 No Guarantee of Safety

WHILE THE APP IS DESIGNED TO ASSIST WITH PERSONAL SAFETY PLANNING, WE DO NOT GUARANTEE:

That the App will prevent harm or ensure your safety;
That notifications will be delivered successfully or on time;
That location data will be accurate;
That emergency contacts will receive or respond to notifications;
That the App will function in all locations or conditions.

9.3 Technology Limitations

GPS accuracy, network connectivity, device compatibility, and other technical factors may affect the App's functionality. We are not responsible for failures caused by:

Poor GPS signal or inaccurate location data;
Network connectivity issues;
Device hardware or software limitations;
Third-party service outages.

9.4 Battery and Data Usage

Continued use of location services running in the background can dramatically decrease battery life. You acknowledge that the App's safety features function only when your device is powered on, has battery life, and is connected to a data network. We are not liable for any failure of the App to function due to device power failure or lack of connectivity.

10. LIMITATION OF LIABILITY

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ELTAES LLC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS;
DAMAGES RESULTING FROM INTERRUPTION OR CESSATION OF SERVICES;
DAMAGES RESULTING FROM RELIANCE ON THE APP FOR EMERGENCY SITUATIONS.

10.2 Liability Cap

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE APP EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

10.3 Essential Purpose

THESE LIMITATIONS SHALL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Eltaes LLC, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use or misuse of the App or Services;
Your violation of this Agreement;
Your violation of any applicable law or third-party rights;
Your User Content;
Any dispute between you and your emergency contacts;
Any harm resulting from your reliance on the App for emergency situations.

12. PRIVACY

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the App, you consent to our privacy practices as described in the Privacy Policy.

13. INTELLECTUAL PROPERTY

13.1 Trademarks

"Elta AI," "Eltaes," "Ellie," and all related logos, designs, and marks are trademarks or registered trademarks of Eltaes LLC. You may not use our trademarks without prior written permission.

13.2 Copyright

All content included in the App, including text, graphics, logos, images, audio, video, software, and other materials, is the property of Eltaes LLC or its licensors and is protected by copyright and other intellectual property laws.

13.3 Feedback

If you provide feedback, suggestions, or ideas regarding the App ("Feedback"), you grant Eltaes LLC a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback without obligation or compensation to you.

14. TERMINATION

14.1 Termination by You

You may terminate this Agreement at any time by:

Deleting your account through the App or by contacting [email protected];
Uninstalling the App from your device.

14.2 Termination by Us

We may terminate or suspend this Agreement and your access to the App at any time, with or without cause, and with or without notice.

14.3 Effect of Termination

Upon termination:

Your license to use the App is immediately revoked;
You must cease all use of the App;
We may delete your account and associated data (subject to legal retention requirements);
Provisions that by their nature should survive termination shall survive (including Sections 3.3, 9, 10, 11, 13, 15, and 16).

15. DISPUTE RESOLUTION

15.1 Informal Resolution

Before filing any formal legal action, you agree to first contact us at [email protected] to attempt to resolve any dispute informally. We will attempt to resolve the dispute within thirty (30) days.

15.2 Arbitration Agreement

IF INFORMAL RESOLUTION IS UNSUCCESSFUL, YOU AND ELTAES LLC AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE APP SHALL BE RESOLVED BY BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT THAT:

Either party may bring individual claims in small claims court;
Either party may seek injunctive or other equitable relief in court to protect intellectual property rights.

15.3 Arbitration Procedures

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Solano County, California, or another mutually agreed location. The arbitrator's decision shall be final and binding.

15.4 Class Action Waiver

YOU AND ELTAES LLC AGREE THAT EACH PARTY MAY ONLY BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

15.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first accepting this Agreement. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.

16. GENERAL PROVISIONS

16.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

16.2 Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Eltaes LLC regarding the App and supersedes all prior agreements and understandings.

16.3 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.4 Waiver

Our failure to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.

16.5 Assignment

You may not assign or transfer this Agreement without our prior written consent. We may assign our rights and obligations under this Agreement without restriction.

16.6 Notices

We may provide notices to you through the App, email, or other reasonable means.

16.7 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17. NOTICE REGARDING APPLE INC.

If you are accessing the App via a device provided by Apple Inc. ("Apple") or downloaded through the Apple App Store, the following shall apply:

Acknowledgment: Both you and Eltaes LLC acknowledge that this Agreement is concluded between you and Eltaes LLC only, and not with Apple. Apple is not responsible for the App or the content thereof.
Maintenance and Support: Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
Warranty: In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.
Product Claims: Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including product liability claims, claims that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
Intellectual Property: In the event of any third-party claim that the App or your possession and use of that App infringes that third party's intellectual property rights, Eltaes LLC, and not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
Third-Party Beneficiary: Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement, and upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

19. ACKNOWLEDGMENT

BY USING THE ELTA AI APP, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT THIS AGREEMENT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND ELTAES LLC, SUPERSEDING ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN YOU AND ELTAES LLC RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
